3 Use of the Website
3.1 All content and materials are owned or licensed by Zimen Ltd. Unauthorised copying, modification, or redistribution is prohibited.
3.2 You must not introduce malware, attempt unauthorised access, or use the Website for unlawful purposes.
3.3 Links to third-party websites are provided for information only; Zimen Ltd is not responsible for their content or accuracy.
 

4 Services Provided 

4.1 Zimen Ltd provides: 

(a) real-estate development and project coordination; 

(b) market research and pre-acquisition assessments related to property and business ventures; 

(c) liaison with licensed professionals (lawyers, accountants, estate agents) authorised by the client.

4.2 Zimen Ltd is not a law firm or licensed real-estate agency; regulated activities are carried out only by independent authorised partners.
 

5 Engagement Process 

5.1 An introductory consultation may be offered free of charge to understand the client’s objectives. 

5.2 Following this meeting, we may issue a written proposal or invoice setting out scope and estimated fees. 

5.3 A binding engagement arises upon written or email acceptance or payment of an invoice. 

6 Fees and Payments 

6.1 Fees depend on the nature of the project and will be stated in our proposal or invoice. 6.2 Unless otherwise agreed, payments are made by bank transfer (IBAN) within 14 calendar days of invoice date. 

6.3 All fees are exclusive of VAT (where applicable). 

6.4 Late payments may accrue interest at the statutory rate under Cyprus law. 
 

7 Commission Disclosure (Real-Estate Transactions) 

7.1 Where Zimen Ltd introduces a client to a developer or property owner, the developer or owner may pay us a commission. 

7.2 Such commission does not increase the price paid by the buyer and does not affect the independence of our advice. 

7.3 Commission arrangements are disclosed to clients upon request. 

8 Cancellations and Rescheduling 

8.1 Consultations can be rescheduled free of charge with at least 48 hours’ notice. 8.2 Cancellations less than 48 hours before the meeting incur a 50 % fee. 8.3 Cancellations less than 24 hours before or no-shows are charged 100 %. 
 

9 Refund Policy 

9.1 Research and advisory fees are non-refundable once the work has commenced or deliverables have been provided. 

9.2 If you cancel before work starts, any prepayment will be refunded minus administrative

expenses (maximum 10 %). 

9.3 Third-party fees (lawyers, accountants, government charges, developers) are non-refundable once incurred. 
 

10 Consumer Right of Withdrawal 

10.1 If you are a consumer who contracts online, you have a 14-day withdrawal right under Law 133(I)/2013. 

10.2 If you request us to begin work within that period, you must pay for services already performed and you lose the right to withdraw once the service is fully performed. 10.3 You may exercise this right using the Model Withdrawal Form available on our Website. 
 

11 Confidentiality and Data Protection 

11.1 Each party shall keep all information confidential and use it only for the purpose of the engagement. 

11.2 Zimen Ltd processes personal data in accordance with its Privacy & Cookies Policy and the Law 125(I)/2018 implementing the GDPR. 
 

12 Limitation of Liability 

12.1 To the extent permitted by law, Zimen Ltd’s aggregate liability shall not exceed the fees paid for the relevant services. 

12.2 We are not liable for indirect or consequential losses including loss of profit or opportunity. 

12.3 Nothing excludes liability for fraud or for death or personal injury caused by negligence. 
 

13 Force Majeure 

We are not liable for delay or non-performance caused by events beyond our reasonable control including natural disasters, strikes, or government restrictions. 
 

14 Changes to Website and Terms 

14.1 We may update Website content and these Terms at any time. 

14.2 Revised versions take effect upon publication on the Website.
 

15 Governing Law and Jurisdiction 

These Terms & Service Conditions are governed by the laws of the Republic of Cyprus and subject to the exclusive jurisdiction of the Courts of Larnaca, Cyprus.
